These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your," or "User") and Zantiq ("Zantiq," "we," "us," or "our"). They govern your access to and use of the Zantiq platform, including our website at zantiq.io, our dashboard, our API, and all related services (collectively, the "Service"). Please read them carefully.

1. Acceptance & Eligibility

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" and "your" refer to both you individually and the entity you represent. If you do not have such authority, or if the entity does not agree to these Terms, you must not use the Service.

2. Service Description

Zantiq is an AI-powered testing platform that provisions and manages AI testers equipped with real online identities. These identities may include email addresses, phone numbers, social media accounts, virtual payment cards, and interactive browser sessions. The AI testers interact with your applications as real users would, executing test scenarios, generating test reports, and providing analytics.

The Service is delivered through a web-based dashboard and a REST API. Features, functionality, supported identity types, and pricing may change over time as we continue to develop and improve the platform. We will make reasonable efforts to notify you of material changes, but we reserve the right to modify, suspend, or discontinue any part of the Service at any time.

3. Permitted Use

The Service is designed exclusively for automated software testing. You may use the Service solely to test software products, applications, and services that you own or that you have been explicitly authorized to test by the owner. This includes functional testing, integration testing, end-to-end testing, user flow testing, and payment flow testing within your own applications.

You are responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and third-party terms of service. Authorization to test a service must be documented and verifiable. "I thought it was fine" is not authorization.

4. Prohibited Conduct

You agree not to use the Service for any purpose other than legitimate software testing. The following activities are expressly prohibited:

  • Unauthorized account creation. Creating fake accounts, profiles, or identities on third-party services, platforms, or websites that you do not own or are not authorized to test.
  • Fraud, impersonation, or social engineering. Using tester identities to deceive, defraud, or manipulate real people or organizations. This includes impersonating real individuals, companies, or government entities.
  • Spam, phishing, or unsolicited communications. Sending spam, phishing messages, bulk emails, or any unsolicited communications through tester identities, including email addresses, phone numbers, or social media accounts provisioned by the Service.
  • Bypassing restrictions. Using the Service to circumvent age restrictions, geographic restrictions, access controls, rate limits, paywalls, or any other security or authentication measures on third-party services.
  • Illegal activity. Using the Service for any activity that violates applicable local, state, national, or international law, including but not limited to money laundering, terrorist financing, sanctions evasion, or trafficking.
  • Harassment or real-person contact. Using tester identities to contact, harass, stalk, threaten, or otherwise interact with real people. Tester identities must only interact with your own applications and test environments.
  • Scraping, data harvesting, or competitive intelligence. Using the Service to scrape data from third-party services, harvest personal information, conduct market research on competitors, or gather intelligence from platforms you do not own.
  • Reselling or sublicensing. Reselling, sublicensing, sharing, or otherwise providing access to the Service or any tester identities to third parties without our prior written consent.
  • Reverse engineering. Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code, algorithms, or architecture of the Service.
  • Circumventing security measures. Attempting to bypass, disable, or circumvent any rate limits, usage quotas, authentication mechanisms, or security measures implemented by Zantiq.

We reserve the right to investigate suspected violations and to suspend or terminate your account immediately if we determine, in our sole discretion, that you have engaged in prohibited conduct.

5. AI & LLM Disclaimer

The Service uses artificial intelligence and large language models (LLMs) to drive test execution, generate test reports, create tester personas, and provide suggestions and analytics. You acknowledge and agree to the following:

  • AI-generated outputs, including test reports, persona attributes, test suggestions, and analytics, may contain errors, inaccuracies, hallucinations, or omissions. AI systems can produce plausible-sounding but incorrect results.
  • You are responsible for independently verifying all AI-generated outputs before relying on them for decisions, especially those related to software quality, release readiness, or compliance.
  • AI-driven testing does not replace human QA judgment. The Service is a tool to augment your testing process, not a substitute for professional quality assurance practices.
  • Zantiq does not guarantee the accuracy, completeness, reliability, or fitness for purpose of any AI-generated content. Test results should be treated as indicative, not definitive.
  • You are solely responsible for any decisions, actions, or consequences that arise from your reliance on AI-generated outputs from the Service. Zantiq shall not be liable for any damages resulting from such reliance.

6. Identity Provisioning

As part of the Service, Zantiq provisions real online identities for AI testers. These identities may include email addresses, phone numbers, social media accounts, browser sessions, and other credentials. The following terms apply to all provisioned identities:

  • Ownership. All provisioned identities are and remain the property of Zantiq. They are operated on your behalf for testing purposes only. You do not acquire any ownership rights in these identities.
  • Purpose limitation. Provisioned identities exist solely for automated software testing. They must not be used for personal communication, real transactions, or any purpose outside of testing your own applications.
  • No deceptive representation. You must not represent tester identities as real people to deceive others. Tester identities are synthetic and must be treated as such.
  • Third-party policies. Provisioned identities may interact with third-party services that have their own terms and policies. You acknowledge that third-party providers may block, restrict, suspend, or terminate provisioned accounts at their discretion. Zantiq is not responsible for actions taken by third-party providers.
  • Termination of identities. Zantiq may terminate, reclaim, or deactivate any provisioned identity at any time if we determine, in our sole discretion, that the identity is being used in violation of these Terms, our Acceptable Use Policy, or applicable law.
  • No availability guarantee. Some platforms may block or restrict provisioned accounts. We make reasonable efforts to maintain identity availability but do not guarantee that all identity types will be accessible on all third-party platforms at all times.

7. Virtual Cards (Sovereign Tier)

Certain subscription tiers include access to virtual payment cards for testing payment flows within your applications. The following terms apply to virtual card usage:

  • Testing only. Virtual cards are issued exclusively for payment flow testing. They must be used only to verify that your payment integrations, checkout processes, and billing systems function correctly.
  • No real transactions. Virtual cards must not be used for personal purchases, real commercial transactions, funding personal accounts, or any activity other than testing your own payment systems.
  • Third-party terms. Virtual cards are issued through Lithic and are subject to Lithic's terms of service and applicable card network rules (Visa, Mastercard, etc.). By using virtual cards, you agree to comply with these third-party terms.
  • Spend limits. Virtual cards are subject to per-transaction and periodic spend limits as defined by your subscription tier. These limits are enforced automatically and may not be exceeded or circumvented.
  • Unauthorized use. You are fully liable for any unauthorized, fraudulent, or non-compliant use of virtual cards issued to your account. If unauthorized charges occur as a result of your negligence or misuse, you are responsible for all associated costs, fees, and penalties.

8. Billing & Payments

The Service is offered under subscription plans with monthly or annual billing cycles. By subscribing to a paid plan, you agree to the following:

  • Payment processing. All payments are processed through Stripe. By providing your payment information, you authorize Zantiq and Stripe to charge your payment method on a recurring basis according to your chosen billing cycle (monthly or annually).
  • Price changes.We reserve the right to change our pricing at any time. We will provide at least 30 days' written notice before any price change takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.
  • Refunds. Subscription fees are non-refundable except where required by applicable law. We do not offer partial refunds for unused portions of a billing period.
  • Failed payments. If a payment fails, we will attempt to process it again and notify you of the failure. You have a 7-day grace period to update your payment information and resolve the issue. If payment is not received within the grace period, we may suspend your account and access to the Service.
  • Usage-based charges. Some features may incur usage-based charges beyond your base subscription fee. Usage-based charges are calculated and billed at the end of each billing cycle. Detailed usage records are available in your dashboard.
  • Cancellation. You may cancel your subscription at any time through the dashboard or by contacting support. Upon cancellation, you will retain access to the Service until the end of your current billing period. No further charges will be made after cancellation, unless outstanding usage-based charges remain.

9. Data & Privacy

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

You acknowledge that AI testers may generate data as part of testing activities, including interaction logs, screenshots, and test artifacts. You are responsible for ensuring that your use of the Service and any data generated through testing complies with all applicable data protection laws, including GDPR, CCPA, and any other relevant privacy regulations.

If you require a Data Processing Agreement (DPA) for GDPR compliance or other regulatory purposes, please contact us at legal@zantiq.io. We will provide a DPA that reflects our data processing practices and your obligations as a data controller.

10. Intellectual Property

The Service, including its design, source code, algorithms, documentation, branding, trademarks, and all associated intellectual property, is owned by Zantiq and is protected by copyright, trademark, patent, and other intellectual property laws. These Terms grant you no rights to our intellectual property except the limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with these Terms and your subscription plan.

You retain ownership of all test data, test configurations, and other content that you create or upload through the Service. By using the Service, you grant Zantiq a limited, non-exclusive license to process, store, and transmit your data solely as necessary to operate the Service, provide support, and improve our platform. We will not sell your data or use it for purposes unrelated to providing the Service.

You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying architecture of the Service. You may not copy, modify, distribute, or create derivative works based on the Service or any part thereof.

11. Account Termination

Either party may terminate this agreement at any time. You may terminate your account by canceling your subscription through the dashboard or by contacting us at legal@zantiq.io. We may suspend or terminate your account at any time, with or without cause, including for violation of these Terms, non-payment, suspected fraud, or conduct that we determine to be harmful to the Service, other users, or third parties.

Upon termination, the following will occur:

  • Your access to the Service will cease immediately, including access to the dashboard and API.
  • All active AI testers associated with your account will be terminated.
  • All provisioned identities (email addresses, phone numbers, social media accounts, virtual cards) will be deprovisioned within 24 hours of termination.
  • Your test data, configurations, and reports will be retained for 90 days following termination, during which time you may request an export. After 90 days, all data will be permanently deleted unless retention is required by applicable law.

Sections of these Terms that by their nature should survive termination will survive, including but not limited to Sections 4 (Prohibited Conduct), 5 (AI & LLM Disclaimer), 10 (Intellectual Property), 12 (Disclaimer of Warranties), 13 (Limitation of Liability), 14 (Indemnification), and 17 (Governing Law).

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT AI TESTERS WILL PERFECTLY SIMULATE HUMAN BEHAVIOR, THAT TEST RESULTS WILL BE ACCURATE OR COMPLETE, OR THAT PROVISIONED IDENTITIES WILL REMAIN ACCESSIBLE ON ALL THIRD-PARTY PLATFORMS.

YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK AND THAT YOU ARE RESPONSIBLE FOR VALIDATING ALL TEST RESULTS AND AI-GENERATED OUTPUTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZANTIQ, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, LOSS OF BUSINESS OPPORTUNITY, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO ZANTIQ IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID ANY FEES, OUR MAXIMUM LIABILITY SHALL BE ONE HUNDRED U.S. DOLLARS ($100).

THESE LIMITATIONS APPLY REGARDLESS OF THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify, defend, and hold harmless Zantiq and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in connection with:

  • Your use or misuse of the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law, regulation, or third-party right (including intellectual property rights, privacy rights, and terms of service of third-party platforms).
  • Any unauthorized, fraudulent, or illegal activity conducted through your account or using identities provisioned for your account.
  • Any claim that your use of the Service caused damage to a third party.

We will provide you with prompt written notice of any such claim and will reasonably cooperate with your defense. We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

15. GDPR & International

Zantiq is committed to protecting the rights of users worldwide. If you are located in the European Union, European Economic Area, or the United Kingdom, the following provisions apply:

EU/EEA Users — GDPR Rights

Under the General Data Protection Regulation (GDPR), you have the following rights with respect to your personal data:

  • Right of access. You may request a copy of the personal data we hold about you.
  • Right to rectification. You may request correction of inaccurate or incomplete personal data.
  • Right to erasure. You may request deletion of your personal data, subject to our legal retention obligations.
  • Right to data portability. You may request your personal data in a structured, commonly-used, machine-readable format.
  • Right to restriction. You may request that we restrict the processing of your personal data in certain circumstances.
  • Right to object. You may object to the processing of your personal data where we rely on legitimate interests as the legal basis.

Data Processing Agreements

If you require a Data Processing Agreement (DPA) under GDPR or other data protection laws, we will provide one upon request. Our DPA covers the nature and purpose of processing, data categories, data subject categories, and technical and organizational security measures.

International Data Transfers

Where personal data is transferred outside the EU/EEA, we rely on Standard Contractual Clauses (SCCs) approved by the European Commission to ensure adequate protection. For transfers to the United States, we implement supplementary measures where required by applicable law.

UK GDPR

For users in the United Kingdom, we comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. UK users have the same rights as described above. For international transfers from the UK, we use the International Data Transfer Agreement (IDTA) or the UK Addendum to the EU SCCs, as appropriate.

California Residents — CCPA

If you are a California resident, you have additional rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), including the right to know what personal information we collect, the right to request deletion, the right to opt out of the sale or sharing of personal information, and the right to non-discrimination for exercising your rights. 16. AI-Specific Regulations

Zantiq acknowledges the evolving regulatory landscape around artificial intelligence and is committed to responsible AI practices.

EU AI Act

Where the EU AI Act applies, Zantiq will comply with applicable requirements for AI system providers and deployers. We maintain documentation of our AI systems, conduct appropriate risk assessments, and implement human oversight measures. We classify our AI testing capabilities in accordance with the risk categories defined by the EU AI Act and apply proportionate safeguards.

Transparency

Zantiq is transparent about the role of AI in the Service. Test execution is driven by AI models. Test reports and analytics are generated by AI. Tester personas and behaviors are created and managed by AI. You should communicate this to relevant stakeholders in your organization who consume test results from the Service.

User Acknowledgment

By using the Service, you acknowledge that AI drives the core testing functionality, including test planning, execution, observation, and reporting. You accept that AI systems operate probabilistically and that results may vary between runs, even with identical configurations. You remain responsible for interpreting results and making decisions based on them.

17. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

Before initiating any legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at legal@zantiq.io. If a dispute cannot be resolved informally within 30 days, either party may proceed with formal legal action.

If you are a consumer located in the European Union, nothing in these Terms affects your rights under mandatory consumer protection laws of your country of residence. You may bring proceedings in the courts of the EU member state in which you are domiciled.

18. General Provisions

Severability

If any provision of these Terms is held to be invalid, unenforceable, or illegal by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

Entire Agreement

These Terms, together with the Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between you and Zantiq regarding the Service. They supersede all prior and contemporaneous agreements, proposals, representations, and communications, whether oral or written, relating to the Service.

Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. A waiver of any provision is only effective if made in writing and signed by an authorized representative of Zantiq.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Zantiq may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we will also send you an email notification at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the Service and cancel your account.

Force Majeure

Zantiq shall not be liable for any failure or delay in performing its obligations under these Terms due to events beyond its reasonable control, including but not limited to natural disasters, acts of war or terrorism, pandemics, government actions, power failures, internet disruptions, or third-party service outages.
